Botswana: Acted for the IFC in its ground-breaking listing of its Pan-African Bond.
DRC: Acted as lead counsel and assisted a US Financial institution in connection with US$5 million loan made to a foreign investor for the purchase of Manganese mines in Burkina Faso and Mali.
Ghana: Advised OPIC and Citibank in connection with an on-lending and refinancing loan facility to CAL Bank Limited in relation to energy-related infrastructure projects meeting the bank’s eligibility criteria. Our scope of work includes due diligence on the bank and reviewing the English law governed facility agreement.
Guinea: Counsel to International Finance Corporation, Overseas Private Investment, and a syndicate of international and Guinean banks, on the USD 823 million financing for the expansion of Compagnie des Bauxites de Guinée’s mine.
Kenya: Advised OPIC on its USD 232 million loan to Kipeto Energy PLC.
Morocco: Legal advice to Siparex, a French Private Equity investment fund, in connection with its Moroccan antitrust filing in the context of the acquisition of Sintex NP.
Mozambique: Legal assistance in financing to a company for a construction of a 5 stars resort hotel.
South Africa: Advised SunEdison Energy Southern Africa Proprietary Limited, SEGP Green Power Southern Africa (Pty) Ltd, SEGP Solar Power Southern Africa (Pty) Ltd and SEGP Renewable Energy Southern Africa (Pty) Ltd as major shareholder, developer, EPC Contractor, O&M Contractor and sponsors to Firefly Investments 230 (RF) (Pty) Ltd in respect of a cross-border project finance transaction for a solar energy project at Boshoff in round two of the IPP Procurement Programme.
Tanzania: Handled a transfer pricing case for a multinational bank and various other multinational companies operating in Tanzania.
Uganda: A legal review of the Ugandan subsidiary of a leading African Fintech, a regulatory review of its operations, review of the transaction structure and potential red flags involved. The Fintech secured equity banking from a leading global investment bank.
Zambia: Advisor to Copperbelt Energy Plc (“CEC”), a Zambian publicly traded power transmission, generation and distribution company on the first ever USD 380 million takeover offer of all the ordinary shares of CEC by the CDC Group Plc, UK’s development finance institution wholly owned by the UK Government Department for International Development.
Zimbabwe: Involved in a transaction to fund the largest independent Media Group in the country through introduction of fresh capital.
