Thiam & Associés advised Hillside Triumph on its acquisition of a majority stake in LafargeHolcim Guinée

Thiam & Associés acted as sole legal counsel to Hillside Triumph in connection with its acquisition of a majority stake in LafargeHolcim Guinée, the leading cement producer in the Republic of Guinea. Following the transaction earlier this year, the company has been renamed Ciments de Guinée S.A., reviving its historical identity and reaffirming its strong local roots.

Baba Hady Thiam, the founder and managing partner of Thiam & Associés, and a dual-qualified lawyer admitted to both the Guinean and Paris Bars says “since assisting with the acquisition, Hillside Triumph plans to implement a phased investment program to consolidate operational performance and enhance existing industrial capabilities, and are committed to the development of two new cement plants, along with prefabrication units, in the Conakry and Upper Guinea regions.”

This acquisition involves one of the highest-performing assets of LafargeHolcim portfolio in West Africa. Against the backdrop of Guinea’s booming mining and infrastructure sectors, this transaction will support the full development of the company’s current industrial facilities, the most modern in the market and the construction of two new cement plants integrated with prefabrication units in the Conakry region and Upper Guinea.

Hillside Triumph is a UK-based investment company headquartered in London. It operates primarily in high-growth sectors such as telecommunications, mining services, transportation, distribution, mobile and digital services, port and logistics services, and real estate. The company focuses on emerging markets, supporting transformational projects with significant economic and social impact.

Thiam & Associés advised Hillside Triumph on all legal aspects of the transaction, including deal structuring, legal due diligence, drafting and negotiation of transactional documentation, financing structuring, regulatory matters, and more. The team included Baba Hady Thiam (Partner), Binta Maïga (Counsel), Abdourahim Bodeen Diallo (Senior Associate), Ismaël Traoré, Saran Kaba, Stéphanie Manguélé, Amadou Mbodj, and Mamadou Billo Barry (Associates).

Hillside Triumph was also advised by Optimum Group Africa and PwC on financial and tax matters. LafargeHolcim was advised by A&O Shearman. For further information and updates please contact Baba Hady Thiam from Thiam & Associés, the LEX Africa member in the Republic of Guinea, on babahady.thiam@thiam-associes.com or visit https://www.thiam-associes.com/en/
