Lesotho: We are involved with the acquisition of shares in a multinational hotel chain with a subsidiary in Lesotho and we assisted a South African Brewing company with its sales of shares and disinvestment in Lesotho.
Ghana: Advising a Ghanaian client on a collaboration for the establishment of a starch plant and the integration of the starch plant and an existing ethanol plant located in the Volta Region of Ghana.
Guinea: Legal counsel to a consortium of an Insurance companies in relation to a subrogated recovery claim against cola’s subcontractor for causing or contributing to the cause of a landslip, and the losses which have been incurred as result.
Kenya: Advising Engen Limited on the disposal of shares in one of its holding companies to Vivo Energy resulting in the change of control of the Engen operations in Kenya.
Morocco: Represented Fiat Chrysler Automobiles Morocco in the commercial arbitration opposing it to its former distributor Stokvis Automotive S.A following the non-renewal of the distribution agreement.
Mozambique: Advising the concessionaires and operators of area 4 concession of the Rovuma Basin.
Nigeria: Local Counsel to a foreign company in respect of Seplat Sapele Integrated Gas Plant Project.We reviewed the Technical Service Agreement.
South Africa: Advised COIDIC (Chinese government-backed infrastructure development and investment company) to set-up their South African operations.
Uganda: Advised an oil and gas exploration company on its acquisition of 30% stake in another oil and gas exploration company ’s exploration reserve in the largest oil fields in Uganda.
Tanzania: Advised and represented investors in of a pipeline project worth over USD 3B from North West Tanzania to Eastern Tanzania in all aspects of the law including land rights and acquisition, taxation, exemptions, environmental, anti-trust, compliance and regulatory issues, local content, immigration, insurance, project financing, securitization, corporate law, and contracts.
Zambia: Advisor to the Africa Agriculture and Trade Investment Fund (AATIF), a USD 146 million fund that invests across the entire agricultural value chain in Africa and the KFW Group, a German Government-owned development bank, regarding the implementation of AATIF’s Agricultural Mechanisation Program in Zambia.
Zimbabwe: Advice to the Law Society of Zimbabwe regarding the application of tax legislation to monies collected by it in respect of practising certificates and continuing legal education programmes.
