RECENT MATTERS

Angola: Advising a French Company in the process of approval of solar energy project.

Ghana: Acting as Counsel for Strategic Security Systems International Limited in connection with the development of a 50mwp photovoltaic plant on the Bui hydroelectric project site.

Guinea: Counsel to TBEA Group Co, on all legal aspects of the integrated project of “Santou Nord” including the construction of a bauxite mine, an alumina refinery, an aluminum smelter, and the construction of two power plants, of which one thermal with an initial capacity of 75 megawatts, and one hydroelectric dam, with a capacity of 300 MW located in Amaria. Counsel to Brahms energy company in relation to the first oil refinery project to be developed in Guinea with USD 250 million investment.

Kenya: Advising Sinohydro Corporation Limited on the development of various roads within Kenya.

Morocco: Legal advice to Vivo Energy Maroc in their acquisition of 49% equity stake in Sopétrole, a petroleum company located in South Morocco.

Mozambique: Advice on preparation and setting up of deal structure including restructuring of holding companies in foreign Jurisdictions and elaboration of all projects contracts for the largest deal on private equity into a Mozambican Industrial and commodity trading entity.

Nigeria: Local Counsel to a foreign company in respect of Seplat Sapele Integrated Gas Plant Project.We reviewed the Technical Service Agreement.

South Africa: We advised Old Mutual as investor and BEE funder in respect of various wind farms and solar PV generation facilities in respect of the financial close of Round 4 projects under the REIPPP Programme.

Tanzania: Acted for one of the largest oil and gas players globally to get regulatory approval in Tanzania.

Uganda: Advised the Government of Uganda on a Private Public Partnership to construct police and prison housing and training units.

Zambia: Advisor to Access Zambia Wind One Limited, a subsidiary of Access Power regarding a feasibility study on the viability of a 130-140 MW wind power project in Pensulo, Zambia by the United States Trade and Development Agency (USTDA).

Zimbabwe: Involved in several litigation matters, challenging the developments on wetlands in various suburbs in Harare . The matters also involved prohibitions on local authority from developing and /or constructing on wetlands until and unless there is full compliance.
